2. Account Management and User Responsibilities

• All activities occurring under your account
• Promptly notifying us of any unauthorized access
• Keeping your account information current and accurate

2.2 User Conduct Standards

When using our Services, you agree to:

• Comply with all applicable laws and regulations
• Respect intellectual property rights of others
• Use the Services for lawful, non-commercial personal purposes unless otherwise licensed
• Refrain from sharing account credentials with unauthorized users
• Provide accurate information when requested

2.3 Prohibited Activities

You may not:

• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems or bots to access the Services
• Engage in any activity that disrupts or interferes with our systems
• Upload malicious code, viruses, or harmful content
• Create derivative works without explicit permission
• Violate any third-party rights or applicable laws
• Use the Services to generate content for unauthorized commercial distribution

3. Service Plans and Subscriptions

3.1 Service Tiers

Basic Tier: Limited access to core features with usage restrictions and basic voice options.

Premium Subscription: Enhanced features including premium voices, extended usage limits, advanced customization options, and priority support.

Trial Periods: New users may access premium features for a limited trial period. Trials automatically convert to paid subscriptions unless cancelled before expiration.

3.2 Subscription Terms and Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payments are processed automatically unless cancelled
• Price changes require 30 days advance notice
• All fees are non-refundable except as required by law
• Subscriptions automatically renew at current rates unless cancelled

3.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to premium features until expiration. Refunds are generally not provided except:

• For billing errors we cannot resolve
• Where required by applicable consumer protection laws
• At our discretion for exceptional circumstances

4. Content and Usage Rights

4.1 Your Content Rights

You retain ownership of all text, documents, and materials you input into our Services ("User Content"). By using our Services, you grant us a limited license to process your User Content solely to provide the requested text-to-speech conversion services.

4.2 Generated Audio Content

Audio files generated through our Services are provided for your personal use. Commercial use of generated audio requires appropriate licensing. You may not:

• Distribute audio content that infringes third-party rights
• Use generated voices to impersonate others without consent
• Create misleading or deceptive audio content
• Violate any applicable laws through audio distribution

4.3 Platform Content and Restrictions

All software, algorithms, voice models, and proprietary technology remain our exclusive property. You receive only a limited, non-transferable license to use the Services as intended. This license terminates when your access ends.

5. Intellectual Property Protection

5.1 Our Rights

tuPandas owns all rights, title, and interest in the tuSpeech application, including:

• Software code and algorithms
• Voice synthesis technology and models
• Trademarks, logos, and branding
• User interface designs and functionality
• Proprietary methodologies and processes

5.2 Copyright Compliance

We respect intellectual property rights and expect users to do the same. If you believe your copyrighted work has been infringed, please provide:

• Identification of the copyrighted work
• Location of the allegedly infringing content
• Your contact information and signature
• A statement of good faith belief that use is unauthorized
• A statement that information provided is accurate

5.3 User License Grant

By submitting User Content, you grant us a non-exclusive, worldwide license to use, process, and store such content solely to provide our Services. This license terminates when you delete the content or close your account.

6. Service Availability and Performance

6.1 Service Reliability

While we strive to maintain high availability, we do not guarantee uninterrupted access to our Services. Planned maintenance, technical issues, or external factors may temporarily affect service availability.

6.2 Usage Limitations

To ensure fair access and system stability, we implement reasonable usage limits on our Services. Excessive usage may result in temporary restrictions or additional charges. Current usage limits are available in your account settings.

6.3 Updates and Modifications

We may update, modify, or discontinue features at our discretion. Material changes affecting your rights will be communicated with reasonable advance notice. Continued use after changes constitutes acceptance of updated terms.

7. Privacy and Data Protection

7.1 Privacy Policy Integration

Your privacy is important to us. Our Privacy Policy, incorporated by reference, explains how we collect, use, and protect your information. By using our Services, you also agree to our Privacy Policy.

7.2 Data Security Measures

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.

8. Payment Terms and Billing

8.1 Payment Authorization

By providing payment information, you authorize us to charge applicable fees using your chosen payment method. You are responsible for ensuring payment information remains current and valid.

8.2 Billing Disputes

Contact us within 60 days of any billing dispute. We will investigate and resolve legitimate billing errors promptly. Disputed charges under good faith review will not result in service suspension during the investigation period.

8.3 Late Payments

Past due accounts may result in service suspension after 30 days. We may charge late fees as permitted by law. Service restoration requires payment of all outstanding amounts.

9. Disclaimers and Limitations

9.1 Service Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9.3 User Responsibility

You assume all risks associated with using our Services. We are not responsible for how you use generated content or any consequences of such use.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by Turkish law, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Turkey with jurisdiction over the location of our registered office.

10.2 Arbitration Agreement

For claims under 30,000 Turkish Lira, disputes may be resolved through binding arbitration. Either party may elect arbitration by providing written notice. Arbitration shall be conducted under Istanbul Arbitration Centre (ISTAC) rules and decisions are final and binding.

10.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or representative proceedings against us.

11. Termination and Account Closure

11.1 Termination Rights

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately for:

• Violation of these Terms
• Non-payment of fees
• Illegal or harmful activities
• Extended periods of inactivity

11.2 Effect of Termination

Upon termination:

• Your access to Services ends immediately
• Outstanding fees remain due and payable
• Certain provisions survive termination, including payment obligations and intellectual property rights
• We may retain data as required by law or legitimate business needs

12. Additional Provisions

12.1 Amendment Rights

We may modify these Terms at any time by posting updated versions. Material changes will be communicated with reasonable notice. Continued use after changes indicates acceptance.

12.2 Severability

If any provision is deemed invalid or unenforceable, the remaining provisions continue in full effect. Invalid provisions will be modified to achieve their intended purpose to the extent possible.

12.3 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between us and supersede all prior agreements relating to the subject matter.

12.4 Assignment

We may assign our rights and obligations under these Terms without notice. You may not assign your rights without our written consent.

12.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.

12.6 Notices

Legal notices will be sent to your registered email address. Notices to us should be sent to our address listed above. Electronic delivery satisfies any legal notice requirements.

12.7 Survival

Provisions relating to intellectual property, payment obligations, disclaimers, and limitations of liability survive termination of these Terms.
